Capital Structure
Founder-controlled. There are no priced outside rounds at this time. Strategic investors are evaluated on a case-by-case basis where the relationship supports a specific platform or program deployment.
Convertible instruments, where used, are conventional and disclosed to existing holders. No public secondary market exists in the company's securities.
Governance
The founding team retains full voting control. Material decisions on capital, platform direction, and engagement filters are made by founders.
Annual financials are prepared on an accrual basis and reviewed by an independent CPA. Audited statements are available to qualified counterparties under NDA.
